Wehoz Seller Agreement

1. Parties and acceptance

This Seller Agreement is entered into between WEHOZ INC (“Wehoz”, “we”, “us”) and the seller entity named in the signature block below (“Seller”, “you”). By signing electronically, you accept and agree to be bound by every term in this Agreement.

2. Eligibility and verification

You represent that you are a legal entity in good standing, that you have the authority to bind your organization, and that the information you provided in your seller application is accurate and complete. You consent to identity verification, business verification (KYB), and ongoing compliance checks.

3. Listing requirements

You warrant that for every listing you publish on Wehoz: (a) the title, description, and other text content are original or you hold the necessary rights to use them; (b) the images you upload are owned or licensed by you and do not infringe any third-party rights; (c) the claims you make about the product are accurate, not misleading, and substantiated; and (d) the product you list is the product you ship.

4. Prohibited products

You will not list any product that appears on the Restricted Items policy located at /policies/restricted-items, which is incorporated into this Agreement by reference. We may update that policy at any time.

5. Intellectual property indemnification

You will indemnify, defend, and hold harmless Wehoz from any third-party claim arising out of or related to your listing content infringing the intellectual property rights of a third party, including without limitation copyright, trademark, trade dress, patent, and right of publicity claims. This obligation includes reasonable attorney fees and court costs.

6. Product liability indemnification

You will indemnify, defend, and hold harmless Wehoz from any third-party claim arising out of or related to a defect, recall, or product safety incident involving the products you sell on Wehoz, regardless of fault.

7. Counterfeit and authenticity policy

You warrant that every unit you ship is authentic and matches the description in the listing. We may at any time request supply-chain documentation. Selling counterfeit goods is grounds for immediate termination, escrow of pending payouts, and reporting to law enforcement.

8. Pricing and MAP compliance

You set your own prices subject to the following constraints: (a) prices must be in U.S. dollars; (b) the displayed price must be the full price the buyer will pay before tax and shipping; (c) if a brand registered on Wehoz publishes a Minimum Advertised Price for one of your SKUs, you must not list that SKU below the MAP floor.

9. Order fulfillment standards

You agree to: (a) acknowledge new orders within your declared handling-time window; (b) ship via a tracked carrier; (c) keep tracking information current in the Wehoz seller dashboard; (d) handle returns according to the return policy you publish on your store page or, in its absence, our default return policy at /policies/returns.

10. Fees and payouts

You authorize Wehoz to deduct the platform commission described in your seller account settings from each sale before remitting the net to your connected Stripe account. Payout cadence, currency, and fees are governed by Stripe Connect's terms; Wehoz is not the payments processor.

11. Repeat-infringer policy

We operate a three-strike repeat-infringer policy under Section 512(i) of the Digital Millennium Copyright Act. Three valid DMCA notices upheld against you within any twelve-month period will result in permanent termination of your selling privileges.

12. Account suspension and termination

We may suspend or terminate your account at any time for cause, including but not limited to: violation of this Agreement, violation of applicable law, repeated customer complaints, failure to maintain a satisfactory fulfillment record, or evidence of fraud. Either party may terminate without cause on thirty days' written notice. Termination does not relieve you of your obligation to complete any orders pending at the time of termination.

13. Confidentiality

You will treat as confidential any non-public information we share with you in connection with this Agreement, including buyer data, sales data, and business plans. You will use such information solely to fulfill your obligations under this Agreement.

14. Limitation of liability

To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, consequential, special, or exemplary damages. Wehoz's aggregate liability under this Agreement will not exceed the greater of (a) the fees Wehoz collected from you in the twelve months preceding the claim, or (b) one thousand U.S. dollars.

15. Governing law

This Agreement is governed by the laws of the State of California, without regard to its conflict-of-laws principles.

16. Dispute resolution

The parties will first attempt to resolve any dispute through good-faith negotiation. If negotiation fails, the parties will attempt mediation through a mutually agreed mediator. If mediation fails, the dispute will be resolved by binding arbitration in San Francisco, California, before a single arbitrator under the Commercial Arbitration Rules of the American Arbitration Association. Judgment on the award may be entered in any court of competent jurisdiction.

17. Amendments

We may amend this Agreement from time to time. We will notify you of any material amendment at least thirty days before it takes effect. Your continued use of Wehoz after the effective date of an amendment constitutes acceptance of the amended terms.

18. Counterpart e-signature acknowledgment

This Agreement may be signed electronically. Your electronic signature has the same legal effect as a handwritten signature. By signing, you represent that you have read this Agreement, that you understand it, and that you have the authority to bind the Seller entity.
